Understory Accounting Terms
1. Introduction
1.1 This order form governs the relationship between Understory.com A/S ("Understory") and its customers ("Customer") regarding Understory Accounting, an optional paid add-on to the Understory System.
1.2 By accepting this order form, the Customer agrees to the terms outlined below (Terms & Conditions).
1.3 The order form is part of, and is governed by, the MSA. In case of conflict, this order form prevails in respect of Understory Accounting; the MSA prevails in all other respects.
2. Services
2.1 Understory Accounting collects, labels, and synchronizes the transactions the Customer processes through the Understory System - including payments, refunds, fees, and gift-card activity - into supported accounting software, and provides reconciliation tools, an activity log, and an accounting API.
2.2 Understory Accounting only processes transactions handled through Understory. It does not cover activity outside the System, such as OTA or manually created bookings or externally issued invoices.
2.3 The supported accounting software, integrations, features, and available regions are limited to those made available by Understory.
2.4 Understory Accounting requires the Customer's own active account with the relevant accounting software. The Customer is responsible for configuring the integration and for labelling or correcting entries where required.
3. Payment & Pricing
3.1 The Customer pays a fixed subscription fee for Understory Accounting, as set out at sign-up. The fee is additional to the Customer's other fees under the MSA and is billed in accordance with the payment terms of the MSA.
3.2 Failure to make timely payment may result in suspension of the Service, in accordance with the MSA.
4. Commitment & Cancellation
4.1 Unless otherwise agreed, cancellation takes effect at the end of the current billing period and must be made at least 7 days before that period ends. Cancellation made later takes effect from the end of the following billing period.
4.2 The Customer can cancel their subscription in-product, or by written notice to info@understory.io. Cancelling this order form does not affect the MSA or any other active order form.
4.3 Understory reserves the right, at its sole discretion, to suspend or terminate this order form immediately if the Customer breaches these Terms, misuses the Service, or fails to comply with applicable laws.
5. Liability & Performance Disclaimer
5.1 Understory Accounting provides software tools that collect, label, prepare, and synchronize data, as described in Section 2. It is not a bookkeeping, accounting, audit, or tax service, and Understory does not perform bookkeeping or accounting on the Customer's behalf.
5.2 Understory does not verify the accuracy or completeness of any figures and does not submit anything to tax or other authorities. The Customer remains solely responsible for its bookkeeping, accounting, tax records and filings, and should have them reviewed by a qualified adviser.
5.3 Understory provides the Service in a professional manner but does not guarantee uninterrupted or error-free operation, or any specific result, and is not liable for indirect losses. The limitations of liability in the MSA apply.
5.4 Supported accounting software is provided by independent third parties. Understory is not responsible for their services, availability, pricing, or changes, nor for any disputes arising from the Customer's use of them.
6. Ownership & Data Usage
6.1 The Customer owns its data. Understory may use anonymized, aggregated data for reporting, optimization, and analytics purposes, in accordance with the MSA.
7. Modifications to Terms
7.1 Understory may update these Terms, the supported integrations, and the features of Understory Accounting. Changes to the Customer's price for Understory Accounting will be notified with at least the current month plus one (1) month's notice, consistent with the MSA. The Customer will be notified of other significant changes in accordance with the MSA.
7.2 Continued use of Understory Accounting after modifications implies acceptance of the updated Terms & Conditions.
